EA Saudi takeover deal set to close next week

Electronic Arts is on the verge of leaving the public markets. An investor group led by Saudi Arabia’s Public Investment Fund has cleared the final regulatory hurdles for a $55 billion acquisition, and the company now expects the transaction to close around the end of trading on August 4. The European Union’s recent approval removed one of the last remaining obstacles, according to the latest SEC filing.

The deal ranks among the largest in gaming history and will take a company that has traded publicly for decades into private hands. Alongside the Saudi fund, the consortium includes the private-equity firm Silver Lake and Affinity Partners, the investment vehicle founded by Jared Kushner. Once completed, EA will operate without the quarterly reporting requirements and shareholder scrutiny that have defined its recent years.

Those years have been marked by repeated rounds of layoffs and the cancellation of multiple projects. Resources have increasingly concentrated on a smaller set of high-profile franchises, with Battlefield remaining a central priority. The timing of the buyout therefore coincides with a period of internal contraction rather than expansion. Critics have already raised questions about how Saudi ownership might shape the content of future titles. The Sims series, long notable for its relatively open approach to relationships and identity, is frequently cited as a potential flashpoint, though any concrete influence remains speculative for now.

The financial structure of the transaction itself introduces another layer of uncertainty. Taking a company private at this scale typically involves significant leverage. The newly private EA will carry a substantial debt load, and it is not yet clear how that obligation will be managed. In the same period, CEO Andrew Wilson received a large compensation increase even as the workforce responsible for the company’s most successful games was reduced. Such patterns are familiar in private-equity acquisitions, where cost discipline and leadership incentives often move in opposite directions.

Saudi Arabia’s Public Investment Fund has spent the past several years expanding its presence across global sports and entertainment. Gaming represents a logical extension of that strategy, offering both financial return and cultural reach. Whether the new ownership will alter creative direction, accelerate the shift toward live-service models, or simply impose tighter fiscal constraints is still an open question. What is certain is that one of the industry’s most prominent publishers is about to operate under a very different set of incentives, and the consequences will play out beyond the view of public markets.
